The irrepressible BrewDog owners James Watt and Martin Dickie are back with a fourth Equity Punk offering in an effort to raise £25 million ($37.5 million). Given the success of the brand and the company’s dramatic jump in revenues after a recent increase in beer production and BrewDog bars, it will be interesting to see what kind of response the private equity offering gets. In its first three offerings, BrewDog has sold shares to over 14,500 investors.

Equity Punk IV is designed to help build a bigger brewery (£3 million) and expand the network of BrewDog bars in the United Kingdom and internationally (£9 million), plus launch a new Hop Shot ice-distilled beer, build a distillery and a sour beer facility (£3.5 million). Interestingly, there’s £3 million to build a small brewery in the U.S., but it’s last on the rather long list of priorities. If the funding goal is not met, the list will be cut from the bottom.

Investors at the least receive a free beer on their birthday at one of the BrewDog locations, £10 in vouchers for use at BrewDog pubs, discounts at BrewDog pubs and the BrewDog online store, plus early notice on new and limited-edition brews.

The B shares can only be traded privately through an electronic auction open only to other shareholders and held annually. The shares cost £47.50 and the minimum purchase is two shares. The Prospectus message follows below.

From the BrewDog Punk Equity IV Prospectus:

BREWDOG IS AN ALTERNATIVE SMALL BUSINESS OWNED BY THOUSANDS OF PEOPLE WHO LOVE CRAFT BEER. THEY ARE OUR SHAREHOLDERS, OUR FRIENDS, OUR COMMUNITY AND THE HEART AND SOUL OF OUR BUSINESS.

We have a community of over 14,500 Equity Punk investors, and this is your chance to join them. In 2010, we tore up convention, turned the traditional business model on its head and launched Equity for Punks giving thousands of people a front row seat to the craft beer revolution. And now it’s back. Bigger and better than ever - giving you the opportunity to own part of BrewDog and share in our future growth. Rewind to 2007, based in a shed in the north east of Scotland, BrewDog came howling into the world. Martin and I (James) put all our savings into the new business. We wanted to build our brewery on our passion for great beer, and that passion still underpins every single thing we do. What started as 2 humans and 1 dog has grown into a thriving small business that employs over 350 talented people, ships beers to over 50 countries, and has 28 craft beer bars around the world. With your help we can continue expanding BrewDog as we continue on our mission to make other people as passionate about great craft beer as we are. Keep on rocking in the free world.
